Z60m 2529-ESG - motherboar d dead?

Hi all!
I've a 3 and 1/2 years old Z60m 2529-ESG -laptop (now with 2G RAM + 320G HDD). It looks like its motherboard is now dead: only battery and power-plug indicator are green and no response on power button.
I've done some reasearch, and FRU P/N 42T0140 (or 42T0000) seems to be the right motherboard.
Can I replace motherboard with ATI-gfx chip motherboard? I think I must replace cooler fan for that aswell.
Any advices?
