Lenovo Community Ideation Terms

2017-03-30, 11:46 AM

Ideation Terms

These terms and conditions apply to your participation in Lenovo’s Ideation Program and are in addition to Lenovo’s website Terms of Use and Forum Guidelines which already govern your participation in Lenovo’s product forums and which continue in force and effect.  To the extent any of the Terms of Use or Forum Guidelines terms conflict with these Ideation Terms, the Ideation Terms shall control with respect to your participation in the Ideation Program.

Participation in Lenovo’s Ideation Program is limited to participants 18 years of age and older, or of majority age in their jurisdiction of primary residence.

By submitting any idea (“User Idea”) to Lenovo through the Ideation program you acknowledge that all related material you submit is non-confidential and warrant that you either own or have licensed such materials such that you may grant Lenovo the rights stated herein.  Furthermore, you agree to grant, and do hereby grant, Lenovo and its designees a perpetual, fully paid-up and royalty-free, worldwide, non-exclusive, irrevocable, and unrestricted license in such materials and in the User Idea to make, use, sell, have made, import, export, and distribute any products or services.  This license includes any ideas, concepts, techniques, or know-how associated with or included in such submitted materials.  Lenovo is under no obligation to compensate or acknowledge you in any way with respect to your User Idea.

You agree to notify Lenovo if any part of your User Idea is covered by a patent in any jurisdiction or is the subject of a pending patent application.  If it is covered by a patent or a patent application, the license specified above automatically grants Lenovo a license to such patent under the same terms.  Such license may be superseded by a separate agreement between you and Lenovo.  You should consult with an attorney before posting any User Idea to the Ideation Program as such posting may impact your ability to obtain patent protection.

In the event that Lenovo desires exclusive use of your User Idea, Lenovo has the exclusive option to purchase from you all right, title and interest in your User Idea, including, but not limited to, any related intellectual property rights.  This option shall be exercisable by Lenovo from the date you submit your User Idea until one year from that date. If we exercise the option, you hereby agree to accept the payment of $2500.00 in full consideration for the purchase of all rights relating to your User Idea.  You agree to fully cooperate with Lenovo in taking whatever action is necessary to perfect and record such rights.
